Terms of Service

Effective: July 6, 2026 · SproutPad (“we”, “us”) provides governed infrastructure provisioning for AI agents at sproutpad.ai, api.sproutpad.ai, and the legacy host api.sproutpad.io (the “Service”). By creating an account or using the Service you agree to these terms.

1. The service

SproutPad lets AI agents acting on your behalf register domains, configure DNS and TLS, deploy compute, and operate mailboxes through provider accounts that we hold, under budget caps, policies, and approval rules that you control. Every mutation is recorded in an append-only audit ledger visible in your dashboard.

2. Your agents act as you

Every action taken with your agent keys or OAuth tokens is your action. You are responsible for the agents you connect, the instructions you give them, and the content they deploy or send. Budget caps, approval gates, and policies are tools we provide to help you supervise them — they do not shift responsibility to us.

3. Payment

• Domains are registered for one year, charged in full at registration, and renewed annually against your card on file with advance notice (30, 7, and 1 day before).
• Hosting and email are priced as flat monthly rates but billed as prorated actuals for each day the resource exists. Tearing a resource down stops its billing immediately.
• Subscriptions (plan fees) are charged monthly in advance.
• Failed payments follow a retry schedule with notices. If retries are exhausted, live resources are suspended ("parked") and your domain is held, not deleted, for a 45-day redemption period before release. During delinquency you can always tear down your own resources to stop billing.

4. Refunds

Domain registrations and renewals are non-refundable once submitted to the registry. They are irreversible upstream, which is why they are approval-gated. Usage-billed charges (hosting, email) are already prorated to actual existence, so there is nothing to refund: stop the resource and billing stops. 5. What guaranteed teardown means

“Guaranteed teardown” means we guarantee a complete, ledger-derived attempt and record: the teardown plan is computed from the audit ledger of everything we created, executed dependents-first, and any step that cannot complete is recorded and retried, never silently skipped. It does not mean recovery of data you chose to destroy, and it does not delete registered domains; they are parked and remain transferable (see §7).

6. Acceptable use

You may not use the Service to host, send, or facilitate: phishing or brand impersonation, malware, spam, illegal content, or attacks on third parties. We screen domain registrations and outbound email for abuse patterns and may require human approval, suspend resources, freeze accounts, or remove content that violates this section (see our abuse reporting page). We are obligated to act on registrar- and provider-level abuse complaints; repeated or serious violations end the account.

7. Domain transfers and ledger exports

Domains you register through us are yours. You can request a transfer authorization code from the dashboard at any time; we unlock the domain, hand you the code, and cancel future renewal charges. DNS keeps serving until the transfer completes. Your audit ledger is exportable (CSV/JSONL) at any time.

8. Account closure

You can close your account from the dashboard after tearing down live resources. Closure revokes all keys and sessions and pseudonymizes your personal data; financial and audit records are retained as described in the privacy policy.

9. Service quality

The Service is provided “as is” without uptime guarantees at this stage. We publish live status at /status. To the maximum extent permitted by law, our total liability for any claim is limited to the amounts you paid us in the three months preceding the claim; we are not liable for indirect or consequential damages, including losses caused by the actions of your agents.

10. Changes

We may update these terms; material changes will be announced to your account email at least 14 days before they take effect. Continued use after that is acceptance.
